Terms of Service

1. Agreeing to these terms

These terms are between you and Vertex Digital Venture LLC, doing business as Vertex Konnect. By using this website, calling or texting us, or asking us to place an order for you, you agree to them. If you do not agree, do not use the site or our service. You must be at least 18 and able to enter a contract.

2. What we do, and what we are not

What we actually do is narrow and worth being precise about:

• We check which providers serve your address.
• We explain the options and answer your questions.
• If you choose one, we place the order with that provider on your instruction and help arrange delivery, or a technician visit where your plan needs one.

That is the entire service. Once the order is placed, your relationship for the service itself is with the provider.

3. What it costs you, and how we are paid

Our help is free to you. We do not charge you a fee, a markup, or a service charge, and we never bill you. You pay the provider directly, under the provider's own pricing.

We are paid a commission by the provider when a customer activates service. You should know that, because it is the honest answer to why this is free.

4. Placing an order

• We place orders only on your instruction, for the plan you selected, at the address you gave us.
• An order is a request, not a completed sale. The provider must accept it. Acceptance may depend on a serviceability check at your exact address, a credit check, identity verification, deposits, and the provider's own approval.
• The provider, not us, confirms your final price, terms, equipment and delivery or installation date.
• If the provider rejects, changes or reprices your order, we will tell you. You are under no obligation to proceed.
• You are responsible for the accuracy of what you tell us. A wrong address is the most common reason an order fails.

5. What we do not promise

This section matters more than it looks. Please read it.

• We do not guarantee availability. Internet service is decided address by address and can change without notice.
• We do not guarantee price, speed, term or promotional offer. Every one of those is set by the provider and can change before your order is accepted. Any figure we discuss is the provider's, quoted as we understood it at the time, and it is not binding on us.
• Speeds are not guaranteed. Actual speed depends on the provider's network, your equipment, your wiring and your usage. We have no control over any of it.
• We do not guarantee a delivery or installation date. Shipping and any technician visit are scheduled by the provider.
• We do not promise that any provider is the best or cheapest option for you. We tell you what is available and what we understand it to cost.

6. The provider's terms govern your service

When you order, you enter an agreement with the provider. Their terms, privacy policy, acceptable use policy, pricing, equipment terms, early-termination fees and dispute rules apply to your service and override anything on this site or anything said on a call with us. Read them. If they conflict with something we told you, theirs is the one that binds you, and you should tell us so we can correct it.

7. Support, billing and cancellation once you are online

Once your service is live, the provider handles it: provisioning, technical support, outages, equipment, billing, changes and cancellation. We cannot access your account, adjust your bill, dispatch a technician, or cancel your service.

What we will do is help you chase it. If you cannot get anywhere with the provider, call us and we will do what we can to help you get to the right person. That is a courtesy we offer, not a service we guarantee.

8. Your side of the deal

• Give us accurate information, and tell us if it changes.
• Only ask us to order for an address and an account you are entitled to act for.
• Do not use this site to break the law, to impersonate anyone, or to interfere with the site or its security.
• Do not scrape, copy or republish the site's content.

9. Calls, texts and recording

When you give us your number and tick the consent box, you agree we may call you about internet offers at that number. Ticking that box is never a condition of buying anything, and you can withdraw it at any time. We do not send marketing texts, and we do not make cold calls.

Do Not Call. Ask us and we add your number to our internal Do Not Call list, which never expires. Email hello@vertexkonnect.com or tell whoever you are speaking to. We also honour the National Do Not Call Registry and applicable state registries, and we keep a written Do Not Call policy that we will send you on request. Full detail is in our Privacy Policy.

We record calls. In states that require every party to consent, we will tell you at the start of the call and you may decline. Full detail is in our Privacy Policy.

10. Trademarks and this website

Provider names, logos and authorized-agent marks shown on this site belong to their respective owners and are used with permission under our dealer agreements. Their appearance does not mean the provider endorses, sponsors or is affiliated with anything we say beyond our authorized dealer relationship.

Everything else on this site, including our own name, wording, layout and design, belongs to Vertex Konnect.

11. Disclaimer and limitation of liability

This site and our service are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent the law allows, Vertex Konnect is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of this site or our service.

We are also not liable for the acts or omissions of any provider, including service failures, outages, installation problems, billing errors, equipment faults, or the provider's own handling of your information.

Some states do not allow the exclusion of certain warranties or the limitation of certain damages, so parts of this section may not apply to you. Nothing here limits liability that cannot lawfully be limited.

12. Indemnity

You agree to indemnify Vertex Konnect against claims, losses and reasonable legal costs arising from information you gave us that was untrue, from asking us to place an order you were not entitled to place, or from your misuse of this site.

13. Governing law and disputes

These terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in King County, Washington, and both sides consent to that venue. Nothing in these terms requires you to give up a right to go to court, and nothing here requires arbitration.

14. Changes to these terms

We may update these terms. The date at the top will change. If a change materially affects your rights, we will make it clear on the site before it takes effect. Continuing to use the site after that means you accept the updated terms.

If any part of these terms is found unenforceable, the rest still applies.
